Terms of Service

Effective Date: January 1, 2026 | Last Updated: September 17, 2026

1. Acceptance of Terms

By accessing the SyncoBee website (syncobee.com), executing a Statement of Work (SOW), or retaining our consulting, development, or developer hiring services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an entity, you represent that you possess legal authority to bind that entity.

2. Professional Services & Deliverables

SyncoBee provides specialized technology services including:

  • Custom Web & Software Development: Architecture, frontend, backend, and API integrations.
  • HR & Staff Management Systems: Custom employee portals, leave tracking, payroll modules, and workflows.
  • AI Consulting & Workflow Automation: AI readiness audits, LLM integration, agentic workflows, and RAG systems.
  • Developer Staff Augmentation: Dedicated or hourly vetted engineering talent managed under SyncoBee quality protocols.
  • Managed Services & DevOps: Uptime monitoring, cloud deployment, and maintenance retainers.

3. Intellectual Property & Ownership

Client Work Deliverables: Upon full and final payment of all corresponding invoices, all bespoke code, visual designs, database schemas, and documentation created specifically for the client transfer entirely to the client.

SyncoBee Pre-Existing IP: SyncoBee retains all rights and ownership over pre-existing proprietary modules, libraries, SaaS products (e.g., BeeTrack, HiveHR, SyncFlow), boilerplates, and foundational development frameworks. Clients receive a perpetual, non-exclusive license to utilize embedded pre-existing IP necessary for operating their deliverable.

4. Billing, Invoices & Payment Terms

  • Fixed-Price Projects: Invoiced across agreed milestone deliverables (typically Deposit, Midpoint, and Final Acceptance).
  • Hourly & Monthly Packages: Invoiced bi-weekly or monthly in advance for developer hiring retainers.
  • Payment Terms: Invoices are payable within Net 15 days of issue unless otherwise specified in your Master Services Agreement (MSA). Late payments accrue interest at 1.5% per month or the maximum statutory rate.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, system architectures, credentials, proprietary datasets, and pricing disclosures as strictly confidential. Confidentiality obligations survive contract termination for a duration of three (3) years.

6. Warranties & Limitation of Liability

SyncoBee delivers services in a professional and workmanlike manner adhering to modern engineering standards (as formalized in our SOP-004 and SOP-006 quality standards). Custom deliverables include a 30-day post-launch warranty period for correcting documented bugs.

Except for gross negligence or willful misconduct, neither party shall be liable for indirect, incidental, punitive, or consequential damages. In all cases, SyncoBee's total cumulative liability is capped at the total fees paid by the client under the applicable Statement of Work in the preceding three (3) months.

7. Term & Termination

Either party may terminate a monthly retainer or ongoing service agreement upon 30 days written notice. Upon termination, the client shall pay for all work performed up to the termination effective date, and SyncoBee will deliver all completed work and code repositories.

8. Inquiries & Notices
